ADVERTISER AGREEMENT TO TERMS

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Freedom To Speak Out ("Company", "we", "us", "our"), concerning your access to and use of the https://www.freedomtospeakout.com website (platform) as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Platform”). You agree that by accessing the Platform, you have read, understood, and agreed to be bound by all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM ADVERTISING ON THE PLATFORM AND YOU MUST DISCONTINUE ATTEMPTS IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Platform from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use at any time and for any reason. We will alert you about any changes by updating the “Last updated” date of these Terms of Use, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms of Use to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Use by your continued use of the Platform for advertising after the date such revised Terms of Use are posted.

The information provided on the Platform is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Platform from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

Terms and conditions for online advertisers are essential for setting the rules and guidelines regarding the use of advertising services, as well as the relationship between the advertiser and the platform FreedomToSpeakOut.com. These terms are legally binding to ensure that all parties involved follow the same rules to ensure fairness, transparency, and compliance.

  1. Acceptance of Terms
    • ▪ By using the advertising Platform, the advertiser agrees to the terms and conditions set forth.
    • ▪ These terms may change, and advertisers are encouraged to review them regularly.
  2. Eligibility
    • ▪ Advertisers must have the legal capacity to enter into contracts.
    • ▪ The Platform may refuse services to anyone who does not meet these eligibility requirements.
  3. Ad Content Guidelines
    • ▪ Advertisers must comply with the Platform's content policies and community standards (no misleading, offensive, or harmful ads).
    • ▪ Prohibited content includes, but is not limited to:
      • ◦ Illicit products or services (e.g., drugs, counterfeit goods, porn).
      • ◦ Discriminatory or offensive material.
      • ◦ Infringement on intellectual property rights.
    • ▪ Advertisers must ensure their ads do not violate any third-party rights.
  4. Ad Placement and Approval
    • ▪ Ads will be subject to review and approval by the Platform.
    • ▪ The Platform reserves the right to reject or remove ads that do not meet the guidelines.
    • ▪ Advertisers may not manipulate ad placement algorithms or engage in fraudulent click activity.
  5. Billing and Payment
    • ▪ Advertisers agree to pay upfront for all services rendered for cost-per-impressions (CPM), where two spots are available to advertisers.
    • ▪ Payment method is through third party tool in United States currency.
    • ▪ The Platform charges for ad delivery, whether the ad receives any clicks or not.
  6. Advertiser’s Responsibility
    • ▪ The advertiser is responsible for the accuracy of the content in the ads, including any text, images, and URLs.
    • ▪ The advertiser must monitor campaign performance and ensure that their campaigns are running as intended.
    • ▪ Once advertisers set a campaign in motion, any malfunction due to advertiser’s broken links, references, or adds, will still be charged as if the ad worked properly.
    • ▪ Malfunction due to Platform issue, except those out of control of the Platform, will result in a credit.
    • ▪ Advertising presented to a staff member in the use of the Platform will not be charged to the advertiser despite appearing to the staff member even if the staff member engages in activity with the advertiser.
    • ▪ Advertisers are responsible for complying with all applicable laws and regulations, including consumer protection laws, privacy regulations, and data security requirements.
  7. Campaign Metrics and Reporting
    • ▪ The Platform provides performance reports, but it is the advertiser’s responsibility to track and interpret the metrics accurately.
    • ▪ The Platform may not guarantee specific results.
  8. Term and Termination
    • ▪ The agreement is typically ongoing unless terminated by either party.
    • ▪ Advertisers can generally stop campaigns, simply pause campaigns, or cancel services at any time.
    • ▪ The Platform reserves the right to suspend or terminate accounts for violation of terms, non-payment, or other breaches, such as inappropriate content.
    • ▪ If terminated occurs, no refund will be provided by the remaining balance.
    • ▪ If termination due to breach of contract, balance will be reduced to zero (0).
  9. Intellectual Property
    • ▪ The advertiser retains ownership of the intellectual property rights to the ad content they submit, but grants the Platform a license to display the ad.
    • ▪ The Platform retains ownership of the intellectual property associated with its services and software.
  10. Limitation of Liability
    • ▪ The Platform’s liability is generally limited to the amount paid by the advertiser for the service.
    • ▪ The Platform is not responsible for any loss of profits, indirect damages, or third-party claims.
  11. Privacy and Data Protection
    • ▪ Advertisers may be required to comply with privacy laws (e.g., GDPR, CCPA) and protect user data.
    • ▪ Platforms may collect data on user interactions with ads, but advertisers must ensure their ads comply with privacy policies.
  12. Indemnity
    • ▪ Advertisers agree to indemnify and hold the Platform harmless from any legal claims or damages resulting from the ad content, violation of terms, or other unlawful actions.
  13. Force Majeure
    • ▪ Neither party is held liable for failure to perform obligations due to circumstances beyond their control (e.g., natural disasters, wars, government actions).
  14. Governing Law and Dispute Resolution
    • ▪ The agreement will be governed by the laws of the jurisdiction specified in the terms (usually the country where the Platform is based).
    • ▪ Disputes are typically resolved through arbitration or mediation rather than litigation.
